Welcome to Studio Giana. By accessing or using our services, you agree to be bound by these Terms of Service. If you do not agree with these terms, please do not use our website or services.

1. OVERVIEW

These Terms of Service (“Terms”) govern all design services provided under Studio Giana’s Bespoke Interior Design offering. By accessing the Studio Giana website or engaging Studio Giana for services, you acknowledge and accept these terms in full.

2. SERVICES OFFERED

Studio Giana provides bespoke interior design services with a focus on renovations and custom builds. All services are offered through formal agreement and require signed contracts prior to commencement.

Bespoke services may include:

• Renovations, additions, or full-home overhauls

• Custom cabinetry and millwork design

• Conceptual and material development

• Space planning and interior layouts

• Finish, fixture, and furnishing specifications

• Furniture and decor sourcing

• Coordination with vendors, fabricators, or contractors

• Project oversight and procurement

Exclusions:

Studio Giana does not provide licensed architectural services, general contracting, or construction labor. Permit filing and structural alterations must be handled by the client or their licensed contractor.

3. CLIENT AGREEMENTS

Engagement in a Bespoke project requires:

• A signed Project Proposal and Client Agreement

• A paid deposit before work commences

• Adherence to payment schedules and communication expectations as outlined in the agreement

Studio Giana reserves the right to pause or terminate work due to non-payment, scope changes, or a breakdown in communication.

4. PURCHASING & PROCUREMENT

Studio Giana typically oversees the procurement of all furnishings, materials, fixtures, and finishes. These items are purchased directly by Studio Giana on the client’s behalf and billed via invoice.

• Procurement includes vendor coordination, tracking, inspections (where applicable), and delivery logistics.

• Clients may not place independent orders for items specified by Studio Giana without written approval.

• Any items selected by the client without Studio Giana’s input are not guaranteed for fit, function, or outcome, and may not be eligible for coordination services.

5. FEES & PAYMENT TERMS

• Payment Structure: Services are billed hourly or as a flat fee per the signed proposal.

• Late Fees: Payments more than 7 days past due are subject to a 2% late fee, with a 5% weekly penalty applied thereafter.

• Receiving Warehouse Fees: If furnishings are received and stored, clients will be billed separately by the warehouse for inspection, storage, and white glove delivery services.

• Material Costs: Studio Giana will invoice the client for reimbursable material costs with clear documentation. A procurement fee may apply.

6. PROJECT TIMELINE

Project timelines are estimates and may shift due to client delays, contractor scheduling, backorders, or unforeseen site conditions. Studio Giana is not liable for delays caused by third parties or force majeure events.

7. RETURNS & CANCELLATIONS

• Custom and trade items are often non-returnable or subject to restocking fees.

• Studio Giana is not responsible for return shipping, damages caused by delivery, or refunds issued by third-party vendors.

• All sales on time-based work are final once hours are performed.

• Clients must approve selections in writing before orders are placed. Changes made after approval may result in additional fees.

8. COMMUNICATION & CLIENT RESPONSIBILITIES

All client communication must be conducted through the email or phone number listed on our site. Studio Giana reserves the right to decline projects that are not a fit for our services.

• Clients are expected to respond to emails and feedback requests within 3–5 business days.

• Delays in communication may impact the schedule and result in a pause in services.

• Studio Giana may withdraw from the project if communication becomes unproductive or harmful.

9. INTELLECTUAL PROPERTY

All concepts, sketches, documents, and design deliverables remain the intellectual property of Studio Giana unless otherwise agreed upon in writing. Clients receive a limited license to use the designs for personal residential use only.

10. PHOTOGRAPHY & PORTFOLIO RIGHTS

Studio Giana reserves the right to photograph completed spaces and use project images in its portfolio, website, press features, and social media unless otherwise agreed in writing.

Clients may not commercially share or resell Studio Giana’s work without permission.

11. CONFIDENTIALITY

Studio Giana agrees to keep all personal client information, project details, and shared materials confidential and will not disclose them to third parties without permission, except where required by law.

12. CLIENT DECISIONS AFTER HANDOFF

Once Studio Giana’s services are complete or the project has entered construction, the client assumes full responsibility for any modifications, changes, substitutions, or decisions made independently or in coordination with contractors. Studio Giana is not liable for outcomes of decisions made after handoff.

13. WARRANTIES & THIRD PARTIES

• Studio Giana does not warrant third-party goods or services.

• Vendor warranties are passed through to the client when applicable.

• Studio Giana is not responsible for delays, quality issues, or contract disputes between the client and their contractor or vendor.

14. LIMITATION OF LIABILITY

In no event shall Studio Giana be liable for indirect, special, or consequential damages, including but not limited to delays, vendor errors, or contractor performance. Maximum liability is limited to the total fees paid by the client to Studio Giana.

15. TERMINATION

Either party may terminate the engagement in writing. In such cases, the client is responsible for all services rendered and reimbursable expenses incurred up to the termination date.

16. MODIFICATIONS TO TERMS

These Terms may be updated at any time. The most current version will always be available at studiogiana.co, and continued use of our services constitutes acceptance of those changes.
